Our senior secured financing practice includes negotiating and documenting all aspects of secured financing arrangements, including term sheets, loan agreements, security agreements, and lender and borrower diligence. We also provide local counsel authorization, good standing and perfection opinions.
In connection with our real estate financing practice, we represent lenders and borrowers in negotiating and drafting real estate financing agreements, trust deeds, rent assignments and fixture filings. From acquisition to construction financing to navigating land use issues, our attorneys are engaged in some of the largest projects in the region.
Our financing practice also includes representation of lenders and borrowers in connection with non-traditional financing arrangements, including mezzanine financing. Our attorneys have years of practice both locally and in large law firms in connection with the negotiation and drafting of subordinated loan agreements, intercreditor agreements, subordinated security agreements, warrants and other equity investments.
We represent material suppliers and purchasers in connection with consignment and inventory financing, including consignment agreements, terms of sale, inventory financing agreement and navigating perfection issues across state lines.
