S. Treasury Financial Crimes Enforcement Network (“FinCEN”) issued an interim final rule exempting domestic companies from the Beneficial Ownership Information (“BOI”) reporting requirements of the Corporate Transparency Act (“CTA”). This means that if your company is domiciled in Oregon or another U. S. state, you do not need to file or update a BOI report. Under the new regulations, only companies formed under the law of a foreign country who are registered to do business in a U. S. state as a foreign entity are required to file BOI reports, unless they meet an exemption. Moreover, if a beneficial owner of a foreign company is a U. S. citizen or resident, or a U. S. domestic company, the U. S. person or domestic company is exempted from reporting as a beneficial owner. The deadline for foreign companies to file, correct or update a BOI report is extended until 30 days after the Federal Register publishes FinCEN’s interim final rule. This would appear to be the end of the CTA saga for domestic companies.  However, this is an interim rule and the statutory law creating the CTA reporting requirements has not been amended or repealed by Congress, so it remains a law on the books, and we will see what happens. S. Department of Labor (“DOL”) proposed a significant increase to the minimum salary requirement for executive, administrative, and professional (“EAP”) employees to be exempt from overtime pay requirements. After a long process that resulted in some changes, the rule has been finalized. Its key aspects are: Effective July 1, 2024, the minimum salary for exempt EAP employees increases from $684 per week ($35,568 per year) to $844 per week ($43,888 per year). On January 1, 2025, the minimum salary for those employees increases to $1,128 per week ($58,656 per year). For the federal highly compensated employee (“HCE”) exemption, the minimum salary increases from $107,432 to $132,964 on July 1, 2024, and to $151,164 on January 1, 2025. NOTE: Oregon law does not recognize an HCE exemption. Therefore, Oregon employers must ensure their exempt employees satisfy the duties for an applicable exemption. In these troubled economic times, even a short paralysis may cause a business to collapse. This problem may be avoidable by (1) organizing a single-member LLC as manager-managed and (2) drafting an operating agreement that both appoints a successor manager in the event of the manager’s incapacitation or death and includes a “transfer on death” registration for the membership interest. 1. Why Manager Managed? Essentially, there are only two choices for management of an Oregon LLC: member-managed or manager-managed. ORS 63. 047(d). When an LLC has a single member who is active in the business, it may seem unnecessary to designate that member as the manager. After all, a member of a member-managed LLC has all of the powers of a member and all of the powers of a manager. See ORS 63. 130. A member of a member-managed LLC, however, cannot easily delegate management authority to a third party when the member is incapacitated, is disabled or dies. Further, on the member’s death, the management authority may suddenly be split between multiple heirs. In a manager-managed LLC, the operating agreement provides the needed flexibility and continuity of business operations to keep the business running. OFLA You might recall that the Oregon Family Leave Act (OFLA) expanded in a few important respects at the beginning of last year (2022). One of those changes was that during a “public health emergency” employee eligibility for any qualifying reason (including parental leave) is reduced from the usual 180 days to 30 days for employees who have (a) been employed for at least 30 days before the leave begins, and (b) worked an average of at least 25 hours per week during that same timeframe. We’re reminding you of that change because it is relevant right now: on November 14, 2022, Governor Brown declared a public health emergency in response to an increase in respiratory viruses in children, including RSV. The declaration extends to March 6, 2023, unless extended or terminated earlier by the governor. Oregon Employment Agreements In 2019 the Legislature enacted a law that prohibits employers from requiring prospective and current employees to sign confidentiality agreements as a condition of employment if the effect of the provision is to prevent the employee from disclosing or discussing discrimination or sexual assault that occurred in the workplace. The law also prohibits employers from including confidentiality and non-disparagement provisions when settling discrimination and sexual assault claims unless the employee has requested confidentiality. S. Sixth Circuit Court of Appeals lifted a court-ordered pause of the federal Occupational Safety and Health Administration (OSHA) COVID-19 Emergency Temporary Standard (ETS), which implements “vaccinate or test” requirements for private employers with 100 or more employees (see our earlier post about the ETS’s details).   Shortly thereafter numerous trade groups applied to the U. S. Supreme Court for another emergency stay.  The Supreme Court has total discretion regarding whether to take the case, and how it would ultimately rule is completely unknown, so the future of the ETS remains uncertain.   In the meantime, OSHA extended the deadlines to comply with the ETS: employers now have until January 10 to adopt compliant policies and until February 9 to begin testing programs.   We have not heard anything yet from Oregon OSHA about how it plans to respond to the Sixth Circuit’s ruling, though it has indicated it is monitoring the situation and is making plans for its own rule.  Whether Oregon’s rule simply adopts the ETS’s requirements or goes further is not known at this time. If the U. S. We do not currently know OR-OSHA’s plans, but we will share that information when we do. Finally, the ETS does not apply to (a) federal contractors covered under the Safer Federal Workforce Task Force COVID-19 Workplace Safety: Guidance for Federal Contractors and Subcontractors, or (b) healthcare employers participating in Medicare or Medicaid, which are covered by their own ETS. Yesterday the OHA issued a replacement rule that supersedes the initial version. While the new rule is similar to the prior version in certain respects, there are important changes, including the following: The deadline for full compliance has been extended from September 30 to October 18, 2021, although employers can impose vaccination requirements at an earlier date. Testing is no longer an option. In order to continue working in a healthcare setting, employees must either provide proof that they are fully vaccinated or qualify for a medical or religious exemption. The rule specifies what is required to satisfy the medical and religious exemptions. If an employee requests an exemption, an employer can request written verification, but must do so using OHA exemption forms.   Employers must reasonably accommodate employees who qualify as exempt while also protecting all employees from contracting or spreading COVID-19. The rule no longer requires a written vaccination policy, although we strongly recommend that employers adopt one. Vaccination and exemption records must be retained for a minimum of two years. However, on Friday the Oregon Health Authority issued a new regulation that specifically requires all health care employees to be vaccinated against COVID-19 or, alternatively, to undergo weekly COVID-19 testing. That rule, intended to combat the highly transmissible Delta variant, can be found here.   The rule applies to all “health care settings,” including hospitals, ASCs, out-patient clinics, medical and counseling offices, assisted living and residential facilities, behavioral health facilities, and pharmacies. The rule applies to all employees, students and volunteers who either provide direct patient or resident care, or who could potentially be exposed, directly or indirectly, to patients, residents or infectious materials. The rule specifically covers individuals licensed by a health regulatory board, as well as unlicensed caregivers and clerical, dietary, environmental services, laundry, security, engineering, facilities management, administrative, billing, student and volunteer personnel. The rule shifts the focus to the employee, stating that all health care employees must either be fully vaccinated or undergo weekly testing on a schedule determined by the employer. The only exceptions to the vaccination requirement are exemptions for individuals with disabilities or bona fide religious beliefs.   The employer is responsible for all costs associated with obtaining proof of vaccination and weekly testing. Employers must adopt and enforce a policy that addresses proof of vaccination, testing and documentation requirements. S. Department of Justice recently issued an opinion stating that employers may mandate that employees receive vaccinations approved under the Emergency Use Authorization (EUA) statute, subject to whatever rights for accommodation the employee may have under other federal or state laws, such as federal and state anti-discrimination laws. Although this opinion demonstrates that the federal government is taking the position that the EUA statute does not prevent an employer from mandating vaccinations, at this point we have no indication whether a court in Oregon will agree with this opinion if an employee challenges an employer’s policy. Further, Oregon’s existing prohibition on mandating that health care workers be vaccinated supersedes this opinion so that restriction is still valid. Bottom line – there is no clear directive under existing law whether an employer can require an employee to get a vaccine that has been approved under the EUA statute. However, this opinion goes a long way towards providing some support to employers who are wanting to take this step. Employers who want to mandate the COVID-19 vaccine should proceed with caution, consult with their attorney, and make sure to include a process of evaluating employees’ requests for accommodation associated with a disability or sincerely held religious belief. Effective June 30, 2021, Oregon OSHA repealed the COVID-19 workplace rules that required most employers to mandate face coverings and physical distancing for employees and visitors. The rule change followed Governor Brown’s Executive Order that lifted most of the state’s remaining COVID-19 restrictions.  Note that the majority of the COVID-19 workplace requirements remain the same and employers are still required to have an exposure risk assessment, infection control plan and to provide employees with certain information and training. But the lifting of the mandatory face coverings and physical distancing should help all of us breathe a sigh of relief. Presumption of Retaliation (SB 483) Effective June 15, 2021, SB 483 creates a rebuttable presumption that an employer has unlawfully retaliated against an employee or applicant if the employer terminates an employee or bars an applicant within 60 days after the employee or applicant makes a complaint or engages in other protected activity relating to workplace health or safety. Given the fraught nature of workplace health and safety during the pandemic, employers should be extra cautious when considering discharging employees or rejecting applicants who have made recent health or safety complaints.   Bonuses Excluded from Equal Pay (HB 2818) Effective June 23, 2021, this law removes vaccine incentives, hiring bonuses, and retention bonuses from the definition of "compensation" for purposes of pay equity requirements. The change regarding hiring and retention bonuses will sunset on March 1, 2022, but until then employees cannot pursue an equal pay claim with BOLI or in state court on the basis of these types of payments. In addition, the bills reduce the duration of such agreements from 18 months to 12 months. Effective May 18, 2021, the State of Oregon issued interim guidance that gives most businesses, employers and faith institutions the option to relax their mask and social distancing requirements for vaccinated individuals. Under the new rules, if a business, employer or faith institution (a) adopts a policy that requires the organization to check for proof of an individual’s vaccination status; (b) requests proof of vaccination status; and (c) reviews each person’s proof of vaccination prior to entry or admission, the organization may permit fully vaccinated individuals with proof of vaccination to be on the premises without masks or face coverings and without physical distancing. Patrons and employees who do not present proof of vaccination must continue to comply with the state’s mask and distance guidelines. Businesses, employers and faith institutions that do not adopt such a policy must continue to enforce the current mask, face coverings and face shield guidance and physical distancing requirements with all individuals, regardless of vaccination status. A living trust gets its name because it is a trust that comes into existence during the lifetime of the person (variously called the trustor, settler or grantor) who creates it. It is revocable because the grantor can amend or revoke it at any time. The grantor signs a trust agreement, which creates a separate entity, the trust, to own the grantor’s assets. A husband and wife can create a joint living trust by signing a trust agreement in which both are grantors. The characteristics of living trusts described in this explanation apply to both joint revocable living trusts and individual trusts. Usually the trust agreement provides that the trust will hold and manage its assets solely for the benefit of the grantor during the grantor’s life. The grantor can change or revoke the trust at any time. Why Community Property Matters: New Basis At Death for Surviving Spouse’s Interest Although there are other benefits to owning assets as community property, the major reason we care about community property from a planning perspective is that it impacts the basis in assets of the married couple for tax purposes. Generally, most assets of a deceased person receive a new basis equal to the fair market value of the assets at the time of the decedent’s death. With community property, at the death of the first spouse, the new basis applies not only to the decedent spouse’s half of the community property, but also to the surviving spouse’s half of the community property.
