Carrie joined Hershner Hunter in 2008 and brings with her both large law firm business transactional experience as well as experience being corporate in-house counsel. Carrie’s practice is focused on providing businesses with general business and intellectual property legal advice to help them structure contracts for key business relationships with customers and suppliers, explore opportunities with potential business partners, and keep proprietary business information and practices protected. She also helps with corporate formation and choice of entity decisions as well as offering ongoing business and intellectual property planning advice.
Carrie began her business law practice representing high-tech and life science technology companies in a wide range of corporate, securities and commercial matters. Carrie advised clients on all aspects of business and technology law matters, including corporate formation, venture capital financing, mergers and acquisitions, corporate governance, collaborative research and development activities, clinical trials, supply, distribution and manufacturing activities, general protection of patents, copyrights, trademarks and trade secrets, and technology licensing and acquisition activities. She also worked with clients in creating form license, non-disclosure and distribution agreements specially tailored to the client’s industry-specific needs, and assisted companies in licensing technology from universities and research institutions for use in the private sector. Her clients included companies from a wide range of industries including biotechnology, specialty pharmaceutical, medical device, chemical, coal processing, software, wireless communications, and other high technology industries.
Carrie has also spent a significant amount of time advising companies from the inside. During her time as in house counsel, Carrie worked side-by-side with her business colleagues on a wide range of legal issues including acquisition of new lines of business, negotiation of agreements for custom software development, value added resale, database solutions, hosted applications and cloud computing, data mining, software publishing, outsourcing, and use of independent contractors. She also provided advice on legal issues related to strategic acquisitions and partnering, game development, product branding, online web store sales, advertising and privacy law compliance, and protection of patents, copyrights, and trademarks.
Carrie’s family is originally from the Pacific Northwest, and after visiting the Oregon coast and Eugene in the spring of 2008, Carrie and her husband, Jamie, started making plans to move to Oregon. By the end of 2008, they were in Eugene and have been enjoying exploring the Oregon outdoors in their spare time.
